These Terms and Conditions ("Terms") govern your use of services provided by Mitchell Media Lab LLC ("Company," "we," "us," or "our"). By engaging our services or using our website, you agree to these Terms in full.

Services

Mitchell Media Lab LLC provides digital marketing services including but not limited to: Facebook and Instagram ad management, Google Ads management, ad creative and copywriting, and AI phone answering setup. The scope of services for each client is defined in a separate service agreement or invoice.

Payment Terms

• All fees are due as specified in the client agreement or invoice
• Payments are processed via Stripe or as otherwise agreed in writing
• Late payments may result in a pause or termination of services
• All fees are exclusive of applicable taxes

Ad Budget

Our management fees do not include ad spend. The client is solely responsible for funding their ad accounts on Meta, Google, or any other platform. We are not responsible for results affected by insufficient ad budget.

Client Responsibilities

The client agrees to:

• Provide accurate business information and timely access to ad accounts
• Ensure all products, services, and claims in ads comply with platform policies and applicable laws
• Respond to communications within a reasonable timeframe

Results Disclaimer

We do not guarantee specific results from advertising campaigns. Digital advertising performance is influenced by many factors including market conditions, ad budget, competition, and platform algorithm changes. We commit to using best practices and ongoing optimization to achieve the best possible results.

Intellectual Property

All ad creatives, copy, and strategies developed by Mitchell Media Lab LLC remain our intellectual property until full payment is received. Upon payment, the client receives full rights to use the deliverables.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose it to third parties without prior written consent.

Termination

Either party may terminate the service agreement with written notice as specified in the client agreement. Upon termination, the client retains ownership of their ad accounts and any paid-for deliverables.

Limitation of Liability

Mitchell Media Lab LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid by the client in the most recent billing period.

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any disputes shall be resolved in the courts of Allegheny County, Pennsylvania.

Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
